1. Agreement to Terms
Welcome to ChatFlow ("the Company", "we", "us"), the platform for building and managing chatbots, available at www.chatflow.co.il ("the Website"). These Terms of Use ("the Terms") constitute a legally binding agreement between you ("the User", "you") and us. By accessing, registering, or using any of our services (as detailed below), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to any part of these Terms, you may not access or use the Services.
2. Definitions
"Services" – includes the website, the ChatFlow platform for building chatbots, all software, APIs, tools, features, and accompanying documentation.
"Chatbot" – any bot or conversational agent that you create, build, or manage using our platform.
"User Content" – all information, text, conversation scripts, images, and data that you create, upload, or provide to the Services for the purpose of building your chatbot.
"Conversation Data" – all information and data exchanged between your chatbot and end users, including conversation transcripts and information collected during them.
"End User" – any person or entity that interacts with your chatbot.
3. User Account and Eligibility
To use the Services, you must create an account. You represent that you are at least 18 years old and have full legal capacity to enter into this agreement. You must provide accurate and up-to-date information when registering. You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. License to Use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes, in accordance with the subscription plan you have purchased.
5. Payments, Subscriptions, and Renewals
The Services are offered under subscription plans that involve monthly or annual payments. Subscription fees will be charged in advance at the beginning of each billing period. Your subscription will automatically renew for the same period, unless you cancel it before the renewal date through your account settings. Cancellation will take effect at the end of the paid billing period, and no refunds will be provided for a prorated portion of the period. All prices do not include VAT, which will be added as required by law.
6. Intellectual Property
a. Our Ownership: The Website, Services, and their original designs, features, and functionality (except for User Content and Conversation Data) are and will remain the exclusive property of ChatFlow and its licensors, and are protected by the intellectual property laws of Israel and the world.
b. Your Ownership: You are the exclusive owner of all rights in your User Content and Conversation Data. You are solely responsible for the legality, accuracy, and quality of such data.
c. License You Grant Us: You grant us a limited license to use, host, and process your User Content and Conversation Data solely for the purpose required to provide, maintain, and improve the Services for you, and in accordance with our Privacy Policy.
7. Fair Use Policy
Our Services are provided for your legitimate business use. You may not use the Services for any illegal or prohibited purpose under these Terms. You are strictly prohibited from:
- Sending "spam" or unsolicited messages.
- Creating chatbots for fraudulent purposes, "phishing", or impersonation.
- Distributing offensive, threatening, racist, or defamatory content.
- Infringing intellectual property rights, privacy rights, or any other rights of third parties.
- Collecting sensitive information from end users without their explicit consent and in violation of the law.
- Attempting to compromise the security of the Services or perform reverse engineering on them.
8. Privacy and Data Protection
We are committed to protecting privacy. Our Privacy Policy, which forms part of these Terms, explains how we collect and use information. With respect to Conversation Data that you collect from end users, you are considered the "Data Controller" and we act as "Data Processor" on your behalf.
9. Termination and Suspension
We may suspend or terminate your access to the Services immediately and without prior notice if we believe you have violated these Terms, including failure to pay on time. You may cancel your account at any time. Upon termination of the agreement, your right to use the Services will expire, and we may delete your User Content after a reasonable grace period.
10. Disclaimer
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Services will be continuous, secure, error-free, or meet your specific requirements. Use of the Services is at your sole risk.
11. Limitation of Liability
In no event shall ChatFlow, its managers, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or reputation, arising from your use of the Services. Our total liability to you for any claim shall not exceed the amount you paid us in the 6 months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless ChatFlow from any claim, damage, liability, or expense (including attorney's fees) arising from your use of the Services, your breach of these Terms, or any claim by an end user against us related to your chatbot.
13. Changes to Terms
We reserve the right to change these Terms from time to time. In case of a material change, we will provide reasonable advance notice. Your continued use of the Services after the changes take effect will constitute acceptance of the updated Terms.
14. Jurisdiction and Applicable Law
These Terms shall be governed solely by the laws of the State of Israel. The exclusive jurisdiction over any dispute arising from these Terms shall be vested in the competent courts of the Tel Aviv-Jaffa District.
